1. Acceptance of Terms
By accessing or using Mance Plating Co's services, website, or facilities, you accept and agree to be bound by these Terms of Service. If you do not agree to all of the terms and conditions of this agreement, you may not access or use our services.
2. Services Provided
Mance Plating Co provides professional metal finishing and plating services including but not limited to chrome plating, electroplating, surface finishing, powder coating, and anodizing. All services are provided subject to these terms and our standard business practices.
3. Customer Responsibilities
Material Preparation: Customers are responsible for properly preparing materials for processing, including cleaning, degreasing, and ensuring materials are suitable for the requested finishing process.
Material Specifications: Customers must provide accurate information about material composition, dimensions, and any special requirements. We are not responsible for unsuitable materials or incorrect specifications provided by the customer.
Safety Compliance: Customers must comply with all applicable safety regulations and provide appropriate material safety data sheets (MSDS) when required.
4. Quotes and Pricing
Quote Validity: All quotes are valid for 30 days from the date of issuance unless otherwise specified in writing.
Pricing Accuracy: While we strive for accuracy in our quotes, final pricing may vary based on actual material usage, processing time, or additional requirements discovered during production.
Additional Charges: Additional charges may apply for rush orders, special handling requirements, or changes to the original scope of work.
5. Payment Terms
Payment Due: Payment is due upon completion of services unless other terms are agreed upon in writing. Large orders may require deposits or progress payments.
Accepted Payment Methods: We accept cash, check, credit cards, and ACH transfers. Payment methods may vary based on customer credit approval and order size.
Late Payments: Accounts overdue by more than 30 days may be subject to finance charges of 1.5% per month (18% annually) or the maximum rate allowed by law.
6. Quality Standards
Industry Standards: All work will be performed to meet or exceed applicable industry standards unless otherwise specified in writing.
Customer Specifications: Work will be performed according to customer specifications and approved samples when provided.
Inspection: Customers are responsible for inspecting work upon delivery. Claims for defects must be reported within 7 days of delivery.
7. Liability and Quality
Quality Commitment: We commit that our services will be performed in a workmanlike manner. This commitment is limited to reprocessing or repair of defective work at our discretion.
Exclusions: We are not liable for damages caused by improper handling, storage, or use of finished products after delivery. We are not responsible for consequential or incidental damages.
Material Limitations: We are not responsible for defects in customer-supplied materials or for results that are impossible due to material limitations.
8. Cancellation and Changes
Cancellation Fees: Orders canceled after work has begun may be subject to cancellation fees covering materials, labor, and setup costs incurred.
Scope Changes: Changes to the scope of work may affect pricing and delivery schedules. Such changes must be approved in writing.
Schedule Changes: We reserve the right to adjust production schedules based on capacity, material availability, or other operational considerations.
9. Intellectual Property
Customer Materials: Customer retains all rights to materials provided for processing. We do not claim ownership of customer materials or designs.
Process Information: Our proprietary processes, techniques, and formulations are our exclusive property and may not be disclosed or used without our permission.
10. Confidentiality
Customer Information: We will maintain the confidentiality of customer information, including designs, specifications, and business information, unless disclosure is required by law.
Non-Disclosure: Customer information will not be shared with third parties except as necessary to perform the requested services or as required by law.
11. Safety and Compliance
Safety Standards: We maintain high safety standards in our facility and require customers to comply with our safety rules when visiting our premises.
Regulatory Compliance: All work will be performed in compliance with applicable federal, state, and local regulations including environmental and safety requirements.
Material Restrictions: We reserve the right to refuse processing of materials that are hazardous, illegal, or that we determine to be unsuitable for our processes.
12. Force Majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, labor disputes, government actions, or material shortages.
13. Dispute Resolution
Negotiation: Parties agree to attempt to resolve disputes through good faith negotiation before pursuing other remedies.
Jurisdiction: Any legal action arising from these terms shall be filed in the courts of Pennsylvania, and the parties consent to jurisdiction in Washington County, Pennsylvania.
Governing Law: These terms shall be governed by the laws of the Commonwealth of Pennsylvania without regard to conflict of law principles.
14. Limitation of Liability
Total Liability: Our total liability for any claim arising out of or related to our services shall not exceed the amount paid by customer for the specific work giving rise to the claim.
Excluded Damages: In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or loss of business.
15. Indemnification
Customer agrees to indemnify and hold harmless Mance Plating Co from any claims, damages, or expenses arising out of customer's use of our services, customer's materials, or customer's violation of these terms.
16. Modifications
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website or upon written notice to customers. Continued use of our services after such changes constitutes acceptance of the modified terms.
17. Entire Agreement
These terms constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior discussions, agreements, or understandings of any kind.
18. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
19. Waiver
Our failure to enforce any right or provision of these terms shall not be considered a waiver of such right or provision.
